Terms And Conditions

1. Scope and Acceptance

KUBE Products, 
    <p>1.1 These Terms and Conditions apply to all quotations, orders, sales, manufacture, supply, delivery and installation services provided by KUBE Sound Isolation Ltd (

1.2 By accepting a quotation, paying a deposit, issuing a purchase order, approving drawings or specifications, providing written confirmation to proceed or permitting KUBE to commence manufacture, the Client ("you") agrees to be bound by these Terms and Conditions.

1.3 These Terms apply to the exclusion of all other terms and conditions which the Client seeks to impose or incorporate, including purchase orders, procurement conditions or standard terms of business, unless expressly agreed in writing by a Director of KUBE.

1.4 No variation to these Terms shall be binding unless agreed in writing and signed by a Director of KUBE.

2. Orders and Payment

2.1 Unless otherwise agreed in writing, all orders require a 50% non-refundable deposit before manufacture commences.

2.2 The remaining balance shall be payable in cleared funds prior to dispatch, delivery or commencement of installation.

2.3 Orders shall be deemed accepted when confirmed in writing by KUBE or when KUBE commences manufacture.

2.4 All prices exclude VAT unless expressly stated otherwise.

2.5 Late payments shall accrue interest at 3% above the Bank of England Base Rate until paid in full.

3. Product Specification and Customer Responsibilities

3.1 Products are manufactured to the specification agreed at the time of order.

3.2 The Client is solely responsible for verifying measurements, site dimensions, access routes, service requirements and installation suitability.

3.3 No changes to confirmed specifications shall be accepted unless agreed by KUBE in writing.

3.4 KUBE reserves the right to make reasonable design modifications required for manufacturing improvements, legal compliance or technical enhancement provided overall functionality is not materially affected.

3.5 The Client warrants that all corridors, staircases, doorways, lifts, access routes, floor levels and installation areas are suitable for delivery and installation.

3.6 KUBE accepts no responsibility where products cannot be delivered or installed due to inaccurate information supplied by the Client.

3.7 Structural Loading and Floor Capacity

KUBE products are substantial engineered structures and may impose significant static and dynamic loads upon floors and supporting structures.

Approximate product weights are available upon request. It is solely the Client's responsibility to ensure the intended installation location is structurally capable of supporting the booth together with occupants and equipment.

KUBE accepts no liability whatsoever for structural failure, floor damage, settlement, cracking or associated losses arising from installation or use of its products.

Where any doubt exists, the Client should obtain advice from a suitably qualified structural engineer before delivery or installation.

4. Delivery and Installation

4.1 Delivery dates are estimates only and are not of the essence.

4.2 KUBE shall not be liable for delays caused by events outside its reasonable control including transport issues, material shortages, labour availability, weather, supplier delays or site readiness.

4.3 Delivery may be kerbside only unless otherwise agreed.

4.4 Installation services require suitable access and sufficient working clearances.

4.5 Where installation cannot proceed because of access restrictions or site issues, delivery shall still be deemed complete and any return visit shall be chargeable.

4.6 The Client must disclose all relevant health and safety information before installation.

4.7 Where delivery cannot be completed due to customer absence, restricted access, unavailable lifting equipment or site issues, KUBE reserves the right to recover all additional transport, labour, accommodation, storage and re-delivery costs.

4.8 If delivery is postponed at the Client's request, KUBE reserves the right to charge reasonable storage and insurance costs.

4.9 Delays caused by the Client's failure to provide approvals, decisions or information may result in revised lead times and additional charges.

4.10 Unless expressly included within the quotation, cranes, forklifts, lifting equipment, permits, road closures or specialist access arrangements remain the Client's responsibility.

4.11 The Client shall ensure that the installation area is clear and ready. KUBE shall not be responsible for moving furniture or belongings unless agreed in writing.

4.12 Goods should be inspected immediately upon delivery and any visible damage or shortages reported in writing within 48 hours.

5. Warranty and Defects

5.1 KUBE provides a five-year limited warranty covering manufacturing defects in workmanship and materials.

5.2 The warranty excludes misuse, accidental damage, water ingress, outdoor exposure, inadequate environmental conditions or unauthorised modifications.

5.3 The warranty shall not apply where products have been dismantled, relocated, repaired or altered by anyone other than KUBE or an authorised representative.

5.4 Warranty claims must be submitted in writing together with photographs.

5.5 Defective components may be repaired or replaced at KUBE's discretion.

5.6 Return shipping and reinstallation costs may be chargeable.

5.7 Natural variations in timber, laminates, fabrics and finishes do not constitute defects.

5.8 Published acoustic performance figures are derived from controlled testing and are intended as guidance only. Actual performance may vary depending upon installation conditions and surrounding structures.

5.9 KUBE does not warrant that any particular recording environment or noise reduction level will be achieved in every installation.

5.10 Clients must maintain suitable environmental conditions including temperature and humidity. KUBE accepts no responsibility for condensation, mould, swelling or deterioration arising from unsuitable conditions.

5.11 Ventilation systems must remain unobstructed and operated in accordance with KUBE recommendations.

5.12 KUBE accepts no responsibility for televisions, speakers, monitors, shelving, microphones or other customer-installed accessories.

6. Cancellation and Returns

6.1 Due to the bespoke nature of KUBE products, cancellation after manufacture has commenced shall result in forfeiture of the deposit.

6.2 Where manufacture proceeds without a deposit under an agreed order, cancellation shall entitle KUBE to invoice 50% of the total contract value, excluding delivery charges, payable immediately.

6.3 Returns may only be accepted at KUBE's discretion.

6.4 Accepted returns may be subject to a 50% restocking charge together with all transport costs.

6.5 Refunds, where applicable, shall be processed within 30 days of return acceptance.

7. Limitation of Liability

7.1 KUBE shall not be liable for indirect or consequential losses including loss of profit, goodwill, business interruption, contracts or data.

7.2 KUBE shall not be liable for delays caused by Client actions or omissions.

7.3 Except where caused by KUBE negligence, KUBE shall not be liable for damage to flooring, decorations or fixtures during installation where access has been requested through existing premises.

7.4 KUBE makes no warranty that products are suitable for any specific recording application or specialist use unless expressly agreed in writing.

7.5 Installation interruptions caused by third parties or site conditions may result in additional charges.

7.6 Subject to applicable law, KUBE's total liability shall not exceed the amount paid by the Client under the relevant contract.

7.7 Nothing in these Terms excludes liability for death, personal injury caused by negligence, fraud or any liability which cannot legally be excluded.

8. Intellectual Property

8.1 All drawings, renders, CAD files, designs, technical documentation and specifications remain the intellectual property of KUBE.

8.2 They may not be reproduced, copied or supplied to third parties without prior written consent.

9. Indemnity and Insurance

9.1 The Client shall indemnify KUBE against claims arising from inaccurate site information or undisclosed hazards.

9.2 KUBE maintains appropriate public and product liability insurance.

9.3 Responsibility for the security and insurance of goods passes to the Client immediately upon delivery.

10. Force Majeure

KUBE shall not be liable for delay or failure to perform arising from circumstances beyond its reasonable control including strikes, supplier failures, transport disruption, natural disasters or government restrictions.

11. Retention of Title

11.1 Ownership of all goods remains with KUBE until payment has been received in full in cleared funds.

11.2 Until ownership passes, the Client shall keep the goods insured and in satisfactory condition.

11.3 KUBE reserves the right to repossess unpaid goods and enter premises where reasonably necessary for that purpose.

12. Electrical Connections

12.1 Unless expressly included within the quotation, KUBE does not undertake fixed electrical installation works.

12.2 Any electrical supply serving KUBE products must be installed and certified by a suitably qualified electrician.

12.3 KUBE accepts no responsibility for defects arising from customer-supplied electrical installations.

13. Governing Law and Jurisdiction

13.1 These Terms and Conditions and any contract between KUBE and the Client shall be governed by the laws of England and Wales.

13.2 The courts of England and Wales shall have exclusive jurisdiction in relation to any dispute arising from these Terms or any contract between the parties.

13.3 If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
